Intagly (the “Company”) provides a 3D printing platform (the “Platform”) that connects people who need 3D printing services (the “Customer”) to people who provide 3D printing services (the “Operator”).
1. Â How the Platform works
Customers upload 3D model files to the Intagly website with options and instructions. Once uploaded, the files are processed using Intagly software to estimate the print time and filament needed to determine the cost to fulfill the order. Orders are offered to operators through the Intagly Operator Mobile App or the Intagly Operator Dashboard website. Operators have the option to accept or reject the order. Accepted orders are sent to the Operator’s email. Rejected orders are offered to another Operator. Completed orders are delivered to the Customer.
2. Services and Responsibilities
a. Operators are independent contractors who provide 3D printing services to customers. As such, Intagly expects Operators to be highly knowledgeable in 3D printing and capable of using and maintaining their 3D Printing equipment and software. Additionally, Intagly expects Operators to use their equipment in a safe environment and follow all safety requirements and recommendations.
b. The Operator agrees to provide 3D printing services in accordance with the terms specified in this Agreement and any instructions provided by Intagly or its customers through the Intagly platform.
c. The Operator is responsible for following all custom text and add-on instructions as displayed in the order details. Failure to comply with these instructions may result in termination of this Agreement and removal from the Intagly Platform, including all access to Intagly services and accounts.
d. The Operator must use their own 3D printing equipment and filament and assumes all risks associated with such use. Intagly is not liable for any damages or losses resulting from misuse of equipment.
e. Packaging and Shipping Responsibilities: In addition to 3D printing, the Operator is responsible for printing shipping labels provided by Intagly, packaging the printed items securely, and delivering the package to the drop-off point specified in the order. Handmade labels are not permitted; only the labels provided by Intagly must be used to ensure tracking and quality standards are met.

2. Operator Selection and Qualification

a. Initial Qualification: Prospective operators will be sent two (2) tutorial orders as part of the application process to verify their ability to use the Intagly application, print 3D objects, and complete the order process. The process includes accepting the test orders using the Intagly application, printing good-quality objects, and following all the steps required to submit a completed order. Submission must include photographs of the completed prints and relevant information such as the number of prints completed previously and geographical location.
b. Selection Criteria: The selection of operators to join the Intagly platform will be based on the quality of the tutorial prints submitted, the applicant’s printing experience, the geographical needs of the Platform, and other criteria deemed relevant by Intagly. Intagly does not discriminate against based on race, color, sex, religion, age, marital status, national origin, sexual orientation, disability, or any other status or condition protected by applicable law.
c. Rights Reserved by Intagly: Intagly reserves the right, at its sole discretion, to decide who becomes an operator and to revoke operator privileges at any time without prior notice. This decision may be based on factors including but not limited to performance, compliance with agreement terms, and operational requirements.
 d. Notification of Selection: Applicants selected to become operators will be notified via the contact information provided in their application. Those not selected will also be informed and may be invited to reapply in the future should they wish to do so.
3. Payments and Fees
 a. Payouts to the Operator for services rendered will be issued on the 1st of each month and may take up to five (5) business days to process.Â
b. Operators may request early payouts, subject to a 3% fee, which may take up to three (3) business days to process.
c. Operators who are paid over $600 will receive a 1099-NEC IRS form for tax purposes. Upon completing $550 in orders, Operators will be required to provide Intagly with a valid EIN or SSN. Operators will not receive new orders until the information is provided.
 4. Order Extensions
a. Operators are allowed to request a 3-day extension for order completion. Abuse of this policy may result in termination or suspension from the Platform.
5. Ongoing Evaluation
a. Operator performance will be subject to ongoing evaluations based on criteria including quality of prints, adherence to customer instructions, timely delivery, overall reliability, adherence to Intagly policies, and customer feedback.Â
b. The images submitted during the order completion process are used to preserve a visual record of the printed objects.
c. In the event of a customer complaint, Intagly will review the submitted images to evaluate the quality, compliance, and accuracy of the prints. If it is determined that an object will require a reprint, the cost of the reprint will be deducted from the Operator’s next payout.
d. Intagly may review submitted images of the completed prints for any reason and without any notice. Intagly may share these images with Customers, Clients, and other stakeholders of Intagly.
e. In the event an operator completes 10 consecutive orders on time without complaints, an operator will receive the status of “Prestige”. Prestige Operators will have priority access to orders without confirming acceptance. This status of “Prestige” can be removed at any time by Intagly if the operator receives a valid customer complaint or violation of policies. Prestige status can be re-earned by completing 10 consecutive orders on time without complaints.
f. Intagly monitors all events including shipping labels, drop-off times, print times, time to complete, and other events.Â

6. Delivery
a. Operators are expected to drop off 3D prints at the designated shipping address noted on delivery tiles.Â
b. All shipping labels are the property of Intagly and are not to be used for any other purpose besides packaging and shipping the designated Intagly order. Shipping labels are for one-time use and are not meant to be reused for any other orders. Each order generates a unique shipping label.
c. Intagly assumes no liability for transporting Intagly orders. Operators assume their own risk when going to drop-off locations and handling Intagly orders.
7. Account Suspension
a. An Operator can lose access to their account due to customer complaints, violating any terms or policies, or at times that Intagly deems necessary. Intagly reserve the right to deduct, compensate, or recover damages related to misuse of the platform. All outstanding orders will be reassigned, and the Operator will be compensated for remaining amount owed..
b. Intagly will provide Operators with reasons for account suspension and corrective measures to reactivate their account.Â
8. Account Termination
a. Intagly reserves the right to suspend or terminate an Operator’s access to the Platform for any reason at any time, with or without cause. In such cases, all outstanding orders will be reassigned, and the Operator will be compensated for any completed orders within the current pay period.
b. Operators may leave the Platform at any time. All outstanding orders will be reassigned, and the Operator will be compensated for any completed orders within the current pay period. If an operator leaves the Platform without completing or canceling the current orders, the operator's account may be terminated or suspended.
 9. Legal and Tax Obligations
 a. Representation of Relationship: Operators are independent contractors and not employees, legal agents, or representatives of Intagly. Operators shall not represent themselves as employees or agents of Intagly nor enter into any agreement or contract on behalf of Intagly. Operators must clearly communicate their independent contractor status in all dealings related to Intagly services and shall not mislead any party regarding their relationship with Intagly or imply that they possess any authority beyond that of an independent service provider.
b. Operators must provide a legal U.S. residential address and be at least 18 years of age.
c. Operators must abide by the current Prohibited Items Policy (https://www.intagly.com/legal/prohibited-items-policy) and agree not to print any weapons or illegal items or violate copyright laws within their jurisdiction.
d. Operators are independent contractors and not employees of Intagly. Accordingly, no federal, state, or local income tax or payroll tax of any kind will be withheld or paid by Intagly on the Operator’s behalf with respect to any payments received by Intagly, including, but not limited to, workers’ compensation, unemployment, or employers’ liability insurance, or employer’s FICA (Social Security), withholding tax or any other taxes or withholding for or on behalf of Operator. Operators further understand they are not eligible for, and will not participate in, any employee pension, retirement, health, or other benefits plans of Intagly, including, but not limited to, medical, dental, or life insurance programs, savings or profit-sharing plans, 401(k) programs, stock option plans, stock purchase plans, other incentive or bonus plans, or vacation, sick leave or holidays. Operators earning over $600 in a tax year will be sent a 1099-NEC form for tax purposes.
10. Shipping and Supplies
 a. Intagly will provide shipping supplies at a discounted rate, which will be deducted from the next payout. These supplies are to be used exclusively for Intagly orders.
b. Operators may request supplies, subject to approval by Intagly. Alternative shipping supplies must be pre-approved by contacting support@intagly.com. It is the Operator’s responsibility to ensure the secure packaging of printed items using either supplies provided by Intagly or approved alternatives.

9. Platform Conduct
a. Items uploaded for sale through the Intagly Catalog must be the Operator’s property, with appropriate commercial rights for use.Â
b. Any communication between the Operator and customers must strictly pertain to Intagly orders and services.Â
8. Intellectual PropertyÂ
The Operator agrees not to infringe upon any copyright, patent, trademark, trade secret, or other intellectual property rights. Any content uploaded to the Platform must be the original work of the Operator, or they must have authorization to use and distribute said content.Â
11. Privacy and Data Protection
Intagly is committed to protecting the privacy and securing the personal information of Operators. The collection, use, and disclosure of information are governed by our Privacy Policy, which is incorporated by reference into this Agreement.Â
12. IndemnificationÂ
The Operator agrees to indemnify, defend, and hold harmless Intagly and its affiliates, officers, agents, employees, and partners from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your actions, your use of the Platform, your violation of this Agreement, or your violation of any rights of another.Â
13. Disclaimer of Warranties and Limitation of LiabilityÂ
a. Non-Liability for Injuries: Intagly is not responsible or liable in any way for injuries, damages, or losses that may occur as a result of the Operator’s participation in any 3D printing activities or shipping processes associated with the Intagly platform. This includes, but is not limited to, personal injury, property damage, revenue loss, and any other harm or loss incurred during the printing, packaging, or delivery of items.Â
b. Operator’s Responsibility: Operators acknowledge and agree that they are solely responsible for their safety and for ensuring that their equipment and materials are used in a safe and proper manner in accordance with all manufacturer specifications and safety guidelines. Operators are also responsible for adhering to all safety protocols during the packaging and shipping of items.Â
c. Limitation of Liability: Intagly will not be liable for any indirect, incidental, punitive, or consequential damages arising out of or related to your use of the Platform, the provision of services under this Agreement, or any other interactions with Intagly, however, caused, under any theory of liability.Â
14. Governing LawÂ
a. This Agreement shall be governed by and construed in accordance with the laws of Delaware, United States, without giving effect to any principles of conflicts of law.Â
15. Dispute ResolutionÂ
a. Any disputes arising out of or related to this Agreement or the use of the Platform will be resolved through binding arbitration in accordance with the rules of [Arbitration Association] in Delaware, United States.Â
16. MiscellaneousÂ
a. This Agreement, together with any amendments and any additional agreements you may enter into with Intagly, shall constitute the entire Agreement between you and Intagly concerning the Platform.
